Do CEO/Presidents have to run all major decsions by the BOD? Do Major Stock Holders Always make up 100% of the board of directors for corp?
No. Many times the major stock holders in companies are mutual funds or retirement funds. In some companies the board of directors holds a fairly small porotion of the stock.





The CEO has authority and management responsibility for the company. Depends what you consider a major decision, but it differs from company to company what the CEO can and cannot do on their own. In many companies the CEO is also a member of the board. Certain decisions such as the sale of the company must be approved by the board and then brought to the shareholders for a vote.
